Valuation Equity Metrics, LLC (“VEM Logic,” “we,” “us,” or “our”) operates VEMLogic.ai and provides AI-powered business valuation services. We understand that the financial data you entrust to us is among the most sensitive information your business possesses. Protecting that data is not merely a legal obligation — it is a foundational principle of our business. This Privacy Policy describes exactly how we collect, use, protect, retain, and dispose of your information. By using our services, you consent to these practices.

2. Information We Collect

Identity Information

Name, email address, phone number, and business name collected during account creation and checkout. This information is used solely for account management, order processing, and communication regarding your valuation engagement.

Financial Documents

Tax returns, profit and loss statements, balance sheets, and other financial records you upload for valuation analysis. These documents are encrypted immediately upon upload using AES-256 encryption and stored in isolated, private data rooms that are never shared with or accessible by any other client.

Business Information

Intake questionnaire responses about revenue, industry, number of employees, ownership structure, and business operations. This data is processed exclusively for the purpose of preparing your valuation report.

Payment Information

Payment transactions are processed exclusively by Stripe, a PCI DSS Level 1 certified payment processor. We do not store, process, or have access to credit card numbers, CVV codes, bank account numbers, or full payment credentials on our servers at any time. VEM Logic never receives or retains your complete payment instrument details.

Usage Data

IP address, browser type, device information, and pages visited, collected automatically for service improvement, security monitoring, and fraud prevention. Usage data is never correlated with your financial documents or used for profiling, advertising, or behavioral targeting.

3. How We Use Your Information

Your information is used strictly for the following purposes and no others:

  • •Communicating with you regarding your order status, report delivery, and account updates
  • •Processing payments securely via Stripe
  • •Conducting our dual AI quality assurance review process to validate report accuracy and defensibility

Absolute Data Protection Guarantee

We will never sell, rent, license, share, or otherwise disclose your personal or financial information to any third party for marketing, advertising, data brokerage, or any commercial purpose whatsoever. Your financial data is never used to train, fine-tune, or improve any general-purpose AI model. Your documents are processed solely for your engagement and are never aggregated with, exposed to, or made available to any other client, partner, or external entity.

4. AI Processing & Data Isolation

VEM Logic employs a proprietary dual AI review process in which two independent AI systems (Anthropic Claude and Google Gemini) validate every valuation report. We are committed to the following protections regarding AI processing:

No Model Training: Your financial data is never used to train, fine-tune, or improve any AI model — ours or any third party's. Data is submitted via stateless API calls that are not retained by the AI provider for training purposes.

Ephemeral Processing: AI review prompts containing your financial data exist only for the duration of the API call. No client data is cached, stored, or persisted by any AI provider after processing completes.
•
Complete Isolation: Each valuation is processed independently. There is no cross-contamination between client engagements. AI reviewers have no memory of or access to any other client's data.
•
NAVIS CVS Compliance: Our AI validation process is designed to meet or exceed the NAVIS Computational Valuation Standard (NAVIS CVS), which establishes rigorous protocols for AI-generated valuation quality, transparency, and defensibility.

5. Information Sharing

We share your information only in the following strictly limited circumstances. We do not share data with any party not listed below, for any reason, without your explicit written consent:

Service Providers: Box (enterprise document storage, SOC 2 Type II certified) and Stripe (PCI DSS Level 1 payment processing), each bound by contractual data processing agreements that prohibit use of your data for any purpose other than providing the contracted service.

AI Review Providers: Anthropic and Google process valuation data through stateless API calls exclusively for quality validation. Both providers are contractually prohibited from retaining, training on, or sharing any data submitted through our platform.
•
Credentialed Reviewers: Licensed professionals who may review or certify your valuation report as part of our quality assurance process, each bound by professional confidentiality obligations.
•
Legal Requirements: When required by court order, subpoena, or lawful demand from a government authority with jurisdiction. We will notify you of any such request unless legally prohibited from doing so, and we will challenge any request we believe to be overbroad or improper.

Business Transfer: In the event of a merger, acquisition, or sale of assets, your data may be transferred to the successor entity. We will provide advance notice and the successor entity will be bound by the terms of this Privacy Policy.

6. Data Security

We employ multiple layers of enterprise-grade security to protect your information. Our security posture meets or exceeds the standards required by major financial institutions:

  • •AES-256 encryption for all stored documents and data at rest — the same encryption standard used by the U.S. Department of Defense
  • •TLS 1.3 encryption for all data in transit between your browser and our servers — the most current transport layer security protocol available
  • •Private, isolated data rooms — your files are stored in individually segregated environments that are never co-mingled with any other client's data
  • •SOC 2 Type II compliant infrastructure, independently audited and verified on an ongoing basis
  • •Role-based access controls restricting document access exclusively to authorized personnel with a documented need-to-access
  • •Complete audit logging of every document access, including timestamp, user identity, action taken, and IP address
  • •Automatic session termination and credential rotation policies to prevent unauthorized persistent access

7. Data Retention & Destruction

We retain your financial documents for three (3) years from the date of report delivery, consistent with professional record-keeping standards. After this period, your documents are permanently and irreversibly deleted from all systems, including backups.

You may request earlier deletion at any time by contacting reports@vemlogic.ai. Upon receiving a valid deletion request, we will permanently destroy all copies of your financial documents within thirty (30) days and provide written confirmation of deletion. Deletion is permanent and irreversible — we cannot recover documents after destruction.

8. Your Rights

You have the following rights with respect to your personal data, which we will honor without exception:

Access: Request and receive copies of all personal data held by VEM Logic, in a commonly used electronic format, within 30 days of your request.
•
Correction: Request corrections to any inaccurate or incomplete data. We will update records within 15 business days.
•
Deletion: Request permanent removal of your personal data and financial documents from all our systems, including backups. Deletion is confirmed in writing.
•
Portability: Request machine-readable copies of your data for transfer to another service, delivered in standard formats (CSV, PDF, JSON) at no charge.
•
Restriction: Request that we restrict processing of your data while a dispute or correction request is pending.
•
Objection: Object to any processing of your personal data. We will cease processing unless we demonstrate compelling legitimate grounds that override your interests.

To exercise any of these rights, contact us at reports@vemlogic.ai. We respond to all requests within 30 days. We will never charge a fee for exercising your data rights.

9. Cookies & Tracking

We use only essential cookies required for basic site functionality, including authentication and session management. We do not use advertising cookies, retargeting pixels, behavioral tracking, fingerprinting, cross-site tracking, or third-party tracking technologies of any kind. We do not participate in ad networks, data exchanges, or real-time bidding platforms. Your browsing activity on VEMLogic.ai is never shared with advertisers or data brokers.

10. Children's Privacy

VEMLogic.ai is a professional business service not directed at individuals under the age of 18. We do not knowingly collect personal information from minors. If we become aware that we have collected information from an individual under 18, we will delete that information immediately.

11. International Data Transfers

All data processing occurs within the United States. If you access our services from outside the United States, you acknowledge that your data will be transferred to and processed in the United States. We apply the same security protections described in this policy regardless of the geographic origin of the data.

12. Changes to This Policy

We may update this Privacy Policy periodically to reflect changes in our practices or applicable law. Material changes will be noted by updating the “Last Updated” date at the top of this page and notifying active clients by email at least thirty (30) days before the changes take effect. Your continued use of VEMLogic.ai after any changes constitutes acceptance of the revised policy.
